Hale is the Trustee. He further provided information and records tp the directors that the sale of the above mentioned property would be in the best interest of the corporation, as well as, the profit-sharing plan of the corporation. (A copy of the legal descriptions of the above referenced properties is attached hereto and made a part hereof by reference herein.) There followed a lengthy discussion of the sale of the above referenced property. Upon motion duly made, seconded and unanimously approved, it was, RESOLVEl3, that Stanley G. Hale-,,~ b.e _and. is hereby authorized to negotiate and execute any and all documents required to effectuate the sale of the above referenced properly (which legal descriptions are<:attached ijereto and made a part hereof by reference herein) at such terms and in such as manner as ue shall deem to be in the best interest of the - corporation of Hale Manufacturing Cp., Irc., and-for the Profit Sharing Plan and Trust for the Employees of Hale Manufacturing Co,, Inc.
