<br />200510142 <br /> <br />3.11 Costs of Legal Proceedings. In the event either party institutes legal proceedings <br />with respect to this Deed, the prevailing party shall be entitled to recover, in addition to any other <br />relief to which it is entitled, its costs and expenses incurred in connection with such legal <br />proceedings including, without limitation, reasonable attorneys' fees. <br /> <br />3.12 Compliance with Laws. Grantee agrees that, in performing its obligations under <br />this Deed, Grantee shall comply with all laws, rules, regulations, ordinances and orders of any <br />governmental authority having jurisdiction. <br /> <br />3.13 No Third-Partv Beneficiaries. None of the terms, conditions or covenants <br />contained in this Deed shall be deemed to be for the benefit of any person other than Grantee and <br />Grantor, and their successors and assigns specifically designated as such in writing, and no other <br />person shall be entitled to rely hereon in any manner. <br /> <br />3.14 Enforcement of Operation and Easement Agreement. Grantee is an "Anchor <br />Occupant," as defined in the Operation and Easement Agreement recorded in the real property <br />records of Hall County, Nebraska on February 9,2005 at Instrument No. 0200501143 ("OEA"). <br />Grantee shall have the right to enforce the OEA against the parties thereto, as provided in <br />Section 12.7(g) of the OEA. <br /> <br />IN WITNESS WHEREOF, Grantor and Grantee have executed this Special Warranty <br />Deed as of the day and year first above written. <br /> <br />{31858,2,10/10/2005 10:00 AMRFISCHER,A0208687,DOC;4} 8 <br />
