<br />FIRST AMENDMENT TO OPERATION
<br />AND EASEMENT AGREEMENT
<br />
<br />This First Amendmell~?peration and Easement Agrt.ement ("Amendment") is made
<br />and entered into as of thd' day of "e fvhei""'~I~~005 by and between KOHL'S
<br />ILLINOIS, INC., a Nevada corporation ("Kohrs") having its principal place of business at North
<br />56th West 17000 Ridgewood Drive, Menomonee Falls, Wisconsin 53051, and 281 & Old Potash
<br />LLC, a Nebraska limited liability company, having its principal place of business at 410
<br />Seventeenth Street, Suite 1705, Denver, Colorado 80202 ("Developer").

<br />WITNESSETH
<br />
<br />WHEREAS, Kohl's and Developer entered into a certain Operation and Easement
<br />Agreement dated as of December 1, 2004 ("Original OEA") for the purpose of developing and
<br />operating a certain Shopping Center (as defined in the Original OEA) in order to effectuate the
<br />common use and operation thereof; and
<br />
<br />WHEREAS, the Original OEA was recorded in the Hall County, Nebraska with the
<br />Register of Deeds Office on February 9,2005 as Document No. 0200501143; and
<br />
<br />WHEREAS, Kohl's and Developer desire to modify the OEA, as more particularly
<br />provided hereinafter; and
<br />
<br />WHEREAS, Developer and Kohl's are the sole Approving Parties under the terms of the
<br />OEA required to consent to this Amendment.
<br />
<br />NOW, THEREFORE, in consideration of the mutual covenants and agreements
<br />hereinafter set forth and other good and valuable consideration, the receipt and legal sufficiency
<br />which are hereby acknowledged, the parties agree as follows:
