<br />200806450 <br /> <br />further secure the payment and performance of any obligation secured hereby are referred to <br />collectively as the "Transaction Documents." <br /> <br />TO PROTECT THE SECURITY OF THIS DEED OF TRUST, TRUSTOR <br />HEREBY AGREES AS FOLLOWS: <br /> <br />1. SATISFACTION OF OBLIGATIONS. Trustor shall satisfy the Obligations <br />pursuant to and in accordance with the Guaranty and this Deed of Trust. <br /> <br />2. TAXES. Trustor shall pay each installment of taxes and special assessments of <br />every kind, now or hereafter levied and assessed against the Property which are Trustor's <br />obligation to pay pursuant to the Lease. <br /> <br />3. MAINTENANCE. Trustor shall keep the Property, all improvements thereon, and <br />every part thereof, in good condition and repair, ordinary wear and tear excepted. <br /> <br />4. EMINENT DOMAIN. Should the Property, or any part thereof or interest therein, <br />be taken or damaged by reason of any public improvement or condemnation proceeding or in any <br />other manner including a deed in lieu of condemnation, or should Trustor receive any notice or <br />other information regarding any such proceeding, Trustor shall give prompt written notice thereof <br />to Beneficiary. <br /> <br />5. INSPECTIONS. To the extent such access is permitted under the Lease, <br />Beneficiary, or its agents, representatives or workmen, are authorized to enter at any reasonable <br />time upon or in any part of the Property for the purpose of inspecting the same and for the purpose <br />of performing any of the acts it is authorized to perform under the terms of any of the Transaction <br />Documents. <br /> <br />6. EVENTS OF DEFAULT. Any of the following events shall be deemed an "Event <br />of Default" hereunder: <br /> <br />(a) If Trustor fails to satisfy any of the Obligations, within thirty (30) days after <br />receipt prior written notice of default thereof; or <br /> <br />(b) If a breach of or a default under any term, covenant, agreement, condition, <br />provision, representation or warranty contained in this Deed of Trust occurs and Trustor fails to <br />cure the same within thirty (30) days after receipt of prior written notice of such breach or default. <br /> <br />7. REMEDIES. Should an Event of Default occur, then, subject to the provisions of <br />the Nebraska Trust Deeds Act (the "Act"), Beneficiary may exercise any rights and remedies <br />allowed at law or in equity, including without limitation: <br /> <br />(a) either in person or by agent, with or without bringing any action or <br />proceeding, or by a receiver appointed by a court and without regard to the adequacy of its <br />security, enter upon and take possession of the Property, or any part thereof, in its own name or in <br />the name of Trustee, and do any acts which it deems necessary or desirable to preserve the value, <br /> <br />2 <br />
