200806450 further secure the payment and performance of any obligation secured hereby are referred to collectively as the "Transaction Documents." TO PROTECT THE SECURITY OF THIS DEED OF TRUST, TRUSTOR HEREBY AGREES AS FOLLOWS: 1. SATISFACTION OF OBLIGATIONS. Trustor shall satisfy the Obligations pursuant to and in accordance with the Guaranty and this Deed of Trust. 2. TAXES. Trustor shall pay each installment of taxes and special assessments of every kind, now or hereafter levied and assessed against the Property which are Trustor's obligation to pay pursuant to the Lease. 3. MAINTENANCE. Trustor shall keep the Property, all improvements thereon, and every part thereof, in good condition and repair, ordinary wear and tear excepted. 4. EMINENT DOMAIN. Should the Property, or any part thereof or interest therein, be taken or damaged by reason of any public improvement or condemnation proceeding or in any other manner including a deed in lieu of condemnation, or should Trustor receive any notice or other information regarding any such proceeding, Trustor shall give prompt written notice thereof to Beneficiary. 5. INSPECTIONS. To the extent such access is permitted under the Lease, Beneficiary, or its agents, representatives or workmen, are authorized to enter at any reasonable time upon or in any part of the Property for the purpose of inspecting the same and for the purpose of performing any of the acts it is authorized to perform under the terms of any of the Transaction Documents. 6. EVENTS OF DEFAULT. Any of the following events shall be deemed an "Event of Default" hereunder: (a) If Trustor fails to satisfy any of the Obligations, within thirty (30) days after receipt prior written notice of default thereof; or (b) If a breach of or a default under any term, covenant, agreement, condition, provision, representation or warranty contained in this Deed of Trust occurs and Trustor fails to cure the same within thirty (30) days after receipt of prior written notice of such breach or default. 7. REMEDIES. Should an Event of Default occur, then, subject to the provisions of the Nebraska Trust Deeds Act (the "Act"), Beneficiary may exercise any rights and remedies allowed at law or in equity, including without limitation: (a) either in person or by agent, with or without bringing any action or proceeding, or by a receiver appointed by a court and without regard to the adequacy of its security, enter upon and take possession of the Property, or any part thereof, in its own name or in the name of Trustee, and do any acts which it deems necessary or desirable to preserve the value, 2
