<br />ASSIGNMENT OF DEED OF TRUST BENEFICIAL INTEREST

<br />KNOW ALL MEN BY THESE PRESENTS, that WACHOVIA BANK OF
<br />DELAWARE, N.A. F/K/A FIRST UNION NATIONAL BANK OF DELAWARE,
<br />SUCCESSOR BY MERGER TO FIRST UNION HOME EQUITY BANK, N.A.,
<br />the party of the first part, in consideration of the sum of
<br />One Dollar ($1.00) and other valuable consideration to it
<br />in hand paid by CITIBANK, N.A., AS TRUSTEE UNDER THE
<br />POOLING AND SERVICING AGREEMENT DATED AS OF NOVEMBER 30,
<br />2001 SERIES 2001-1, the party of the second part, receipt
<br />whereof is hereby acknowledged, has granted, assigned and
<br />transferred, and, by these presents does grant, assign and
<br />transfer unto the said CITIBANK, N.A., AS TRUSTEE UNDER THE
<br />POOLING AND SERVICING AGREEMENT DATED AS OF NOVEMBER 30,
<br />2001 SERIES 2001-1, its successors and assigns, the
<br />beneficial interest in a certain Deed of Trust wherein
<br />First Union Home Equity Bank, N.A., is Beneficiary, David
<br />E. Boll, a single person, is Trustor and Kirk Meisinger,
<br />Attorney at Law is Trustee, which Deed of Trust was dated
<br />the 12th day of March, 1999 and recorded on the 26th day of
<br />March, 1999 as Instrument No. 99~103117 of the mortgage
<br />records of Hall County, Nebraska, and all its right, title
<br />and interest to the property therein described, as follows,
<br />to-wit:
