<br />LIMITED LIABILITY COMPANY WARRANTY DEED

<br />GRANTOR, in consideration of ONE HUNDRED FORTY-FIVE THOUSAND

<br />DOLLARS ($145,000), conveys to CHIEF INDUSTRIES, INC., a Delaware

<br />Corporation, GRANTEE, the following described real estate (as

<br />Nebraska, together with a right of way across and upon a

<br />recorded as Document No. 91-107632, in the Register of
<br />Deeds Office, Hall County, Nebraska.

<br />GRANTOR covenants (jointly and severally, if more than one)

<br />(1) is lawfully seised of such real estate and that it is
<br />free from encumbrances except easements, reservations,
