<br />200804918 <br /> <br />filing or recording of this Deed of Trust or the delivery and recording of such further assurances <br />and instruments as may be required pursuant to the terms of this Section. <br /> <br />2.9 Due On Sale Or Mortl!al!ing. <br /> <br />In the event that without the written consent of Mortgagee being first obtained: (a) <br />Mortgagor sells, conveys, transfers, further mortgages, changes the form of ownership, or <br />encumbers or disposes of the Premises, or any part thereof, or any interest therein, or agrees so to <br />do; or (b) any interest in Mortgagor is sold, conveyed, transferred, pledged or encumbered or <br />there is an agreement to do so, whether any such event described above is voluntary, involuntary <br />or by operation oflaw, then at Mortgagee's sole option, Mortgagee may declare the Indebtedness <br />immediately due and payable in full and call for payment of the same at once, together with any <br />prepayment fee, ifany, then in effect under the terms of the Note. <br /> <br />2.10 Maintenance of Existence. <br /> <br />Mortgagor agrees to maintain its existence as a limited liability company under the laws <br />of the State of Nebraska and not to dissolve, liquidate, wind-up, consolidate or merge during the <br />term hereof, without the prior written consent of Mortgagee. <br /> <br />3. INSURANCE AND ESCROWS <br /> <br />3.1 Insurance. <br /> <br />During the term of this Deed of Trust, Mortgagor shall obtain and keep in full force and <br />effect at its sole cost and expense the following insurance: <br /> <br />( a) Insurance against loss by fire, lightning and risk customarily covered by standard <br />extended coverage endorsement, including the cost of debris removal, together <br />with a vandalism and malicious mischief endorsement, sprinkler leakage <br />endorsement, such perils endorsements as determined by Mortgagee, all in the <br />amount of not less than the full replacement cost without deduction for <br />depreciation of the improvements as shown in the appraisal submitted to and <br />approved by Mortgagee and an agreed-amount endorsement, a replacement cost <br />endorsement and a waiver of subrogation endorsement; <br /> <br />(b) Broad Form Boiler and Machinery Insurance on all equipment and pressure fired <br />vessels or apparatus situate on the Premises, and providing for full repair and <br />replacement cost coverage; <br /> <br />(c) Flood Insurance in the maximum amount available at any time during the term of <br />this Deed of Trust that the Premises are designated as lying within a flood plain as <br />defined by the Federal Insurance Administration; <br /> <br />(d) Comprehensive General Public Liability Insurance covering the legal liability of <br />Mortgagor against claims for bodily injury, death or property damage occurring <br /> <br />10 <br /> <br />Doc# 2675364\2 <br />
