<br />WHEREAS, Homady is the owner of the real property constituting approximately 4.4 acres
<br />of real estate legally described on Exhibit "A" attached hereto and incorporated herein by this
<br />reference (the "Option Property"); and

<br />WHEREAS, Hornady has granted the Company an exclusive option to purchase the Property
<br />during that period oftwelve (12) months commencing on the September 6, 2005 and ending at 5 :00
<br />p.m. on September 5, 2006 (the "Option").

<br />NOW THEREFORE, Hornady and the Company hereby execute this Memorandum for the
<br />purpose of acknowledging the parties respective interests in, and rights and obligations under, the
<br />Option and recording the same in the office of the Register of Deeds of Hall County, Nebraska.

<br />This Memorandum is subject in each and every respect to the terms, covenants and
<br />conditions ofthe Option between the parties hereto. This Memorandum is executed and delivered
<br />with the understanding and agreement that the same shall not in any manner or form whatsoever,
<br />alter, modify or vary the rents and other terms, covenants and conditions of the Option.
