<br />KNOW ALL MEN BY THESE PRESENTS:

<br />WHEREAS, Robert J. Gregg and Teresa K. Gregg, Husband and Wife, GRANTORS, are
<br />the owners of record ofa parcel ofland located at 15612 S. 70th Rd., Hastings, Nebraska 68901,
<br />and legally de~ribed as the East 313.5 feet of the Northeast (NE) Quarter of the Southeast
<br />(SE) Quarter of Section 31, Township 9, Range 10, Uan County Nebraska, and which tract is
<br />hereinafter refetred to as "Tract 1";

<br />WHEREAS, Gregg Farms Inc., a Nebraska Corporation, GRANTEE, is the owner of
<br />record of land situated in the Northeast (NE) Quarter of the Southeast (SE) Quarter of
<br />Section 31, Township 9, Range 10, Hall County, Nebraska, which land is located immediately
<br />adjacent to Tract 1 described above, and is hereinafter referred to as "Tract 2"; and
<br />
<br />WHEREAS, Grantee desires to have ingress and egress access to Tract 2 over, through
<br />and upon Tract 1 in connection with Grantee's farming operation conducted upon Tract 2; and
<br />
<br />-~------WHEREAS, Grantors are-willing too-grant to Granteenon--exclusive ingress and egress
<br />access to Tract 2 over, through and upon Tract I.
<br />
<br />NOW, THEREFORE, for valuable consideration the receipt and adequacy of which is
<br />hereby acknowledged, Grantors do hereby grant and convey unto Grantee and to Grantee's
<br />invitees, agents, employers, heirs, successors and assigns, a permanent non-exclusive easement
<br />for ingress and egress access to Tract 2 over, through and upon Tract I as reasonably necessary in
<br />connection with the conduct of Grantee's farming operation conducted upon Tract 2. The
<br />easement as granted herein shall be a perpetual easement and shall run with the land and shall be
<br />binding upon and shall inure to the benefit of the parties hereto, their invitees, agents, employers,
<br />heirs, successors and assigns, and all parties claiming ownership of either Tract 1 or Tract 2
<br />through Grantors and Grantee.
