<br />84 - 006644 <br /> <br />indebtedness, so that upon payment monthly of an amount <br />equal to such aggregate monthly minimum rentals, when applied <br />monthly to pro-rata ground rent, if any, taxes, assessments <br />and insurance premiums, then to interest and the balance to <br />principal will completely amortize the indebtedness at <br />maturity, in which latter event the monthly installments <br />under said Note shall be reduced accordingly. In ~~e event <br />any of the said conditions are not or cannot be satisfied, <br />then the alternate disposition of such award as provided <br />herein shall again become applicable. Under no circumstances shall Mortgagee becOllKl <br />personally liable for the fulfillment of the terms, covenants <br />and conditions contained in any of the said leases of the <br />said mortgaged premises nor obligated to take any action to <br />restore the said improvements. <br /> <br />37. That Mortgagor will not, and will not permit <br />any third party to, without in each case the prior written <br />consent of the Mortgagee, sell, assign, transfer, convey <br />(but may sublease in accord with the terms hereof and of the <br />Assignment of Lessor's Interest in Lease), or otherwise <br />dispose of, the mortgaged premises, or any interest therein <br />or estate thereof; provided that, in the event, with Mortgagee's <br />consent, Mortgagor shall hereafter sell and lease back all <br />or any part of the mortgaged premises and if, either the <br />lien of the within Mortgage shall be or shall hereafter have <br />been made subordinate to any occupancy leases or subleases <br />of the within mortgaged premises, or the holder of the <br />within Mortgage shall have granted or shall at any time <br />grant non-disturbance to such leases or subleases, then the <br />said leaseback and any mortgage upon said leaseback either <br />(a) shall be made or shall become subordinate to said occupancy <br />leases and subleases, or (b) shall prOVide for non-disturber <br />of said leases and subleases, and all said leases and subleases <br />shall provide for attornment to the lessor under said leaseback <br />or any mortgagee of the leasehold estate. <br /> <br />-10- <br /> <br />L <br /> <br /> <br /> <br />-' <br />
