84 - 006643 r ASSIGNMENT ANO ASSUMPTION OF LEASES FOR AND IN CONSIDERATION of the sum of Ten Dollars ($10.00) and for other valuable consideration, WRC PROPERTIES, INC., a Delaware corporation ("Assignor") hereby sel~s, trans- fers, assigns and sets over to CONESTOGA JOINT VENTURE, an Ohio general partnership ("AssigneeR), all of Assignor'S ~ight, title and interest under, in and to all leases, licenses, other occupancy agreements and any amendments thereto, whether re- corded or unrecorded and including, but without limitation, those leases, licenses and/or occupancy agreements which are listed in Exhibit A, attached hereto and made a part hereof (the RLeases"},pursuant to which any person or entity is --- ----p'l'f:r$-ell t l)' Cllt-i tIe d to no Ii --ci:'-h-euilfter-'Gcc-UPy--cl'-use ,e-portl.on..-,,--_,___ of the land or improvements known as Conestoga Mall, located in the 'City of Grand Island and the County of Hall, Nebraska and more fully described on Exhibit a, attached hereto and made a part hereof, together with the guarantees, if any, of the obli- gations of any of the tenants or others under any such Lease. Assignee hereby accepts said assignment and hereby (i) assumes and agrees to perform and comply with all the obli- gations of Assignor under the Leases arising on and after the date hereof and (ii) agrees to indemnify and hola harmless Assignor from any expense, claim, liability or other matter, including attorneys' fees relating to the Leases attributable to any act, event or occurrence arising on and after the date hereof, provided. however, that the foregoing indemnity shall not be enforceable by any tenant or other obligee under any such Lease or any entity claiming by, through or under such tenant or obligee.
