<br />MEMORAHOUM Of' LEASE AGREEMENT executed the ~ day of
<br />December, 1984 by and between W R C PROPERTIES, IHC.~ving an
<br />office and post office adoress at 730 Third Aver.~:, Hew York,
<br />New York 10017 (hereinafter called the -Lessorft), and CONESTOGA
<br />JOINT VENTURE, an Ohio general partnership, having an ottice
<br />and post office address at 2542S Center Ridge Road, Cleveland,
<br />Ohio 4414S (hereinafter called the RLesseeR).

<br />Lessor, for and In consideration of the rents ana
<br />additional rents hereinafter reserved and of the covenants and
<br />agreements hereinafter set forth, to be kept, observed and
<br />performed by the Lessee, has granted, demised and leased and by
<br />these presents does GRANT, DEMISE AND LEASE unto the Lessee the

<br />ALL that certain real property situated, lying and being in
<br />the City of Grand Island, County of Hall and State of
<br />Nebraska, all as more particularly described in Exhibit A
<br />annexed hereto and by this reference expressly incorporated

<br />TOGETHER with all and singular the appurtenances, rights,
<br />privileges and easements in any wise now or hereafter
<br />appertaining thereto;
<br />
<br />TOGETHER with all rights, title and interest of the Lessor
<br />in and to the land lying in the street, avenues, ways and
<br />roads in front of and adjoining said premises;
<br />
<br />TOGETHER with the right of surface support of the buildings
<br />and improvements now or hereafter constructed on and above
<br />the said land; but EXCEPT AND EXCLUDING all right, title
<br />and interest in the footings, foundations, columns, piles,
<br />buildings, improvements, fixtures, equipment and other
<br />installations now or hereafter located, constructed or
<br />erected thereon;
<br />
<br />ALL of said property, together with all appurtenances,
<br />rights, privileges and easements now or hereafter apper-
<br />taining thereto being hereinafter collectively called the
<br />-Demised Premises-.
<br />
<br />TO HAVE AND TO HOLD the Demised Premises for a term
<br />co.aencing on the Iq~ day of December, 1984 and expiring at
<br />midnight on the thlitY-first day of December, 2028, unless this
<br />Lease shall sooner end and terminate 8S hereinafter provided
<br />(the -Terlll-).

<br />The foregoing demise 1s lIIade subject to the following:
<br />
<br />a. All applicable restrictions, regulations and
<br />statutes, end amendlllents and additions thereto, of any and all
<br />federal, state, county, city and township authorities having
<br />jurisdiction thereof.
