B. By execution of a Modification Agreement (the "Modification Agreement") dated as of the date of this Modification, along with an amended note and related documents, the parties have modified and increased the principal amount of the line of credit available to Garst Seed under the restated letter agreement. C. The parties wish to effect a modification of the Assignment in order to continue its applicability to the modified arrangement agreed to between the parties. COVENANTS For valuable consideration paid, the Recitals set forth above which are incorporated by this reference, and the covenants set forth below, the parties agree as follows: 1.
