85-• 005623 PARTNERSHIP AGREEMENT THIS AGREEMENT is made and entered into this �-_' day of December, 1979, by and between LAMBERT J. POELS and GERALDINE A. POELS, husband and wife, of Alda, Hall County, Nebraska, who hereby agree to become partners in the business of operating a cafe and lounge, under the firm name and style of CB & J Properties of Natrona County, Wyoming, for the term of ten (10) years, commencing upon the date of the execution of this Agreement and ending upon the 10th anniversary of this Agree- ment, upon the terms and conditions hereinafter stated: 1. The business of the co- partnership shall be conducted and carried on at Alda, Hall County, Nebraska, and at such other place as the parties may mutually agree upon for that purpose. 2. Each of the parties hereto has contributed an equal amount of capital to the partnership with which to commence the business of the co- partnership. 3. At all times during the continuance of this partnership the parties hereto, who are the sole partners, shall devote their attention, skill, interest and ;over to increase the profit of said business. 4. The parties hereto shall each maintain a fifty percent (50 %) interest in all profits of tide business and the same are to be apportioned and divided in respect thereto, together with all losses. 5. The partnership shall have the authority to own, purchase, sell, mortgage and otherwise encumber both real and personalro_erty; deeds of conveyance of real estate owned by the partnership, together with bills of sale for personal property, shall be binding upon the partnership upon the execution of the same by each of the general partners, Lambert J. Poels and Geraldine A. Poels. 6. At the end of the term set forth above, or other earlier termination of the partnership, by :.issaluticn or otherwise, the partners shall and will make a true and Just final account or all thincs relating to their said business and all of the gams and increases thereof shall be divided in proportion to the respective interest of the partners hereto in the r,)artnership, as hereinbefore designated.
