<br />WHEREAS, First National Bark and Trust Company of Lincoln,
<br />Trustee of the Estate of Robert R. Rector, Deceased, pursuant to
<br />the Last Will and Testament of Robert R. Rector, Deceased,
<br />received a Deed of Distribution of property as hereinafter
<br />described;
<br />WHEREAS, pursuant to the terms of the Last Will and
<br />Testament of Robert R. Rector, Deceased, First !national Bank and
<br />Trust Company of Lincoln resigned as Trustee of such Trust;
<br />WHEREAS, pursuant to the terms of the bast_ Wil'_ and
<br />Testament of Robert R. Rector, Deceased, all of the beneficiaries
<br />under such Last Will and Testament selected Norwest Bank Grand
<br />Island, National Association, or its successor, as Successor
<br />Trustee to the First National Bark and Trust Company of Lincoln,
<br />Lincoln, Nebraska;
<br />IN CONSIDERATION of the foregoing, First National Bark and
<br />Trust Company of Lincoln, Trustee of the Estate of Robert R.
<br />Rector, Deceased, GRANTOR, conveys and releases to Inor-west Bank
<br />Grand island, National Association, Successor Trustee of the
<br />Testamentary Trust created by the Last Will and Testament of
<br />Robert R. Rector, Deceased, GRANTEE, the following described real
