<br />ASSIGNMENT OF
<br />NEBRASKA DEED OF TRUST, SECURITY AGREEMENT, AND
<br />FINANCING STATEMENT, AND ASSIGNMENT OF LEASES
<br />(Hall County, Nebraska)
<br />This Assignment, made as of the ;Z4 day of August, 1985, by
<br />AMERICAN ACCREDIT CORPORATION, a Delaware corporation ( "Ameri-
<br />can"), whose address is 3033 South Parker Road, Suite 720, Aurora,
<br />Colorado 80014, to ICI AMERICAN HOLDINGS INC., a Delaware cor-
<br />poration ("ICI ") whose address is North Murphy Road & Concord
<br />Pike, P.O. Box 751, Wilmington, Delaware 19897.
<br />WITNESSETH:
<br />WHEREAS, Garst Seed Company, an Iowa corporation ( "Garst
<br />Seed ") has borrowed certain moneys from American and delivered to
<br />it a certain debt instrument (the "Note "); and
<br />WHEREAS, the Note is secured in part by a Nebraska Deed of
<br />Trust, Security Agreement, and Financing Statement, and Assignment
<br />of Leases hereinafter identified; and
<br />WHEREAS, ICI has agreed to purchase from American the ?vote,
<br />with all attendant powers, rights, and security relating thereto,
<br />pursuant to the terms and conditions of a Note Sale and Purchase
<br />Agreement dated the iZ ^� day of August, 1985 (the "Agreement ").
<br />NOW, THEREFORE, in consideration of the sum of One Dollar
<br />and other good and valuable consideration to it in hand paid by
<br />ICI, receipt of which is hereby acknowledged, American hereby
<br />grants, bargains, sells, conveys, transfers, assigns and sets
<br />over unto ICI, its successors and assigns, all of its right,
<br />title, interest, power and authority in and to the following:
<br />a_ Nebraska Deed of Trust, Security Agreement and
<br />Financing Statement ( "Deed of Trust ") dated the 29th
<br />day of March, 1985, covering that property described in
<br />Exhibit "A" attached hereto, from Garst Research Farms,
<br />Inc. a Nebraska corporation, to James R. McCiymont, as
<br />Trustee, for the benefit of American, and recorded in
<br />the Office of the Register of Deeds, Hall County,
<br />Nebraska, on the 9th day of April, 1985, as Document
<br />No. 85- 001599; and
<br />b. Assignment of Leases ( "Lease Assignment ") dated the
<br />29th day of March, 1985, covering that property described
<br />in Exhibit "B" attached hereto, from Garst Research
