85-=r 002021 <br />such thirty (30) day period or has not diligently <br />I-' proceeded therewith to completion. <br />In the event of a default under subparagraphs (a), (b), (c), (d) <br />or (e) above, the Lessee's right to possession under this Lease <br />shall automatically terminate without additional notice to <br />Lessee. In the event of any default, Lessor shall have the right <br />to terminate this Lease. <br />7.2 Cure by Lessor. Lessor at its option may, but shall <br />not be obligated to make any payment required of Lessee or <br />perform any obligation of Lessee, and the amount Lessor pays, or <br />the cost of its performance, together with interest thereon at <br />twelve percent (12 %) per annum, shall be deemed to be an addi- <br />tional charge payable by Lessee on demand. <br />VIII. <br />RIGHT OF FIRST REFUSAL <br />8.1 Right of First Refusal. Lessor agrees to use its best <br />efforts to cause the e ounty o' Hall, Nebraska, to grant to Lessee <br />the riqht to purchase the Premises at the same price and upon the <br />same terms as Lessor is willing to sell the Project to any third <br />person at any time during the Primary Term of this Lease and for <br />a period of one (1) year thereafter. If Lessee does not exercise <br />its right of first refusal and if Lessor receives a bona fide <br />offer to purchase the premises prior to February 1, 1986, which <br />is acceptable to it, it shall notify Lessee thereof in writing <br />enclosing a copy of the offer and thereafter Lessee shall have <br />thirty (30) days to notify Lessor in writing that it will meet <br />the offer. If Lessee sends such notice, Lessee shall be obligated <br />to purchase the property in accordance with the offer. If Lessee <br />does not so notify Lessor within thirty (30) days, Lessor shall <br />have the right to sell the Premises strictly accordinq to the <br />terms and provisions free of this right of first refusal. If <br />said sale is not so closed, then the Premises shall continue to <br />be subject to this restriction until March 1, 1986. <br />IX. <br />ASSIGNMENT <br />This Lease shall be fully assignable by the Lessor and or <br />its successors and assigns. This Lease shall not be assigned by <br />Lessee without the prior written consent of Lessor which consent <br />shall not be unreasonably withheld. <br />X. <br />MISCELLANEOUS <br />10.1 Notices.
