Lessor warrants that the <br />Defaultinq Lessee s n default under the Defaulted Lease and <br />Indenture with respect to the rent payments due on Auqust 20, <br />1982 and thereafter and that Article XVII of the Defaulted Lease <br />permits the Lessor to reenter and take possession of the Project <br />and that by stipulation with the Defaulted Lessee the Lessor has <br />obtained relief from the provisions of 11 U.S.C. 362 with respect <br />to the Project permittinq it to enforce Article XVII. Lessor <br />further warrants that it has full riqht and authority to enter <br />into this Lease and will warrant and defend title and possession <br />to Lessee for the full term hereof aqainst all claims, demands, <br />riqhts and interests. <br />II. <br />TERM <br />2.1 Term. Unless sooner terminated under the provisions <br />hereof, this Lease shall be and continue in full force and effect <br />for a term (the "Primary Term ") of twelve (12) months from the <br />first day of the first day of March, 1985 (the "commencement <br />date "). and shall have four (4) extensions that shall total a <br />period of sixty one (61) months as referenced Article III, <br />Section 3.1. <br />2.2 Possession. Possession of the premises shall be <br />delivered to tie L —Lessee upon execution hereof. <br />2.3 Holdove r . Any holdover at the expiration of the term <br />With the written consent of Lessor shall be on a month -to -month <br />basis, which tenancy may be terminated by Lessor aivinq Lessee <br />not less than forty -five (45) days notice. During such holdover <br />tenancy, Lessee agrees to pay Lessor on a monthly basis all <br />rentals and other charges that would have been due under this <br />Lease and agrees to continue to be bound by all of the terms of <br />this Lease which are applicable at that time. <br />2.4 End of Term. At the expiration of this Lease, or any <br />extension t ereo , Lessee shall peacefully surrender possession <br />of the premises. Lessee shall have the absolute riqht to remove <br />any and all personal property and trade fixtures owned by Lessee. <br />III. <br />CONSIDERATION <br />3.1 Rent.
