F <br />IN <br />ASSIGNMENT AND CONVEYANCE OF INTEREST <br />UNDER FARM LEASE AND OPTION <br />85-001446 <br />THIS ASSIGNMENT AND CONVEYANCE, made and entered into as of <br />the 26''S day of MareA , 1985, b Garet Seed Company, <br />Limiter Partners i y pang. an Iowa <br />p, n a Garet Seed Company Limited Partner- <br />ship, Assignor and Grantor, and Garet Research Farms, Inc., a <br />Nebraska corporation, Assignee and Grantee, WITNESSETH: <br />WHEREAS, the Assignor and Grantor is the Lessee under that <br />certain Farm Lease dated September 13, 1983 by and between John <br />Cler and Esther Cler, husband and wife, Lessors, and the <br />Assignor and Grantor, Lessee, which Lease was recorded on <br />September 13, 1983 as Document No. 83- 005057 in the office of the <br />Recorder for Hall County, Nebraska, and covers the following - <br />described real estate situated in Hall County, Nebraska, to -wit: <br />The Southeast Quarter of Section Twenty -Seven (27), <br />Township Eleven (11), Range Eleven (11) West of the <br />6th P.M., Hall County, Nebraska, excepting therefrom <br />the Southwest Quarter of the Southwest Quarter (SW 1/4 <br />SW 1/4) of said Southeast Quarter (SE 1/4), except all <br />mineral lands should any be found to exist in the <br />subject property (said exception shall not be construed <br />to include coal and iron land) and all rights and ease- <br />ments in favor of the estate of said minerals. <br />WHEREAS, on September 13, 1983 John Cler and Esther Cler, <br />husband and wife and Assignor and Grantor executed an Option to <br />Purchase, granting an option to purchase the above - described prem- <br />ises to the Assignor and Grantor, such option to be exercised on <br />or before January 15, 1994. <br />NOW THEREFORE, in consideration of Ten Dollars ($10.00) and <br />other good and valuable considerations, the receipt, adequacy and <br />sufficiency of which are hereby acknowledged by the Assignor and <br />Grantor, said Assignor and Grantor (i) hereby assigns all of its <br />right, title and interest as Lessee under, and all of its right, <br />title and interest in and to the real estate described in, the <br />above Farm Lease and (ii) hereby grants, bargains, sells, and <br />conveys all of its right, title and interest in and to the above - <br />described real estate, all unto Assignee and Grantee. <br />This document further assigns unto the Assignee and Grantee <br />all rights of Assignor and Grantor in and to the Option to <br />Purchase the above- described real estate. <br />In consideration for such assignment and grant, Assignee and <br />Grantee hereby assumes, undertakes and agrees to perform each and <br />all of the obligations of the Assignor and Grantor under the <br />above Farm Lease and Option to Purchase is all things, all as <br />more fully set forth therein, and also agrees to indemnify and <br />hold harmless the Assignor and Grantor from any liability or <br />expense of any nature suffered by it should Assignee and Grantee <br />not so perform. <br />a <br />
