L- <br />000311 <br />page 5 <br />purchase of the leased premises by Lessee pursuant to the terms <br />of this Agreement, the Lessor agrees to deliver fee simple title <br />to the property to Lessee free of all liens or encumbrances. In <br />the event Lessor shall deem it necessary to make any payments to <br />third parties with respect to any liens or encumbrances not placed <br />on the leased premises by the Lessee, in order to protect Lessee's <br />interests created by this Agreement, all such payments so made by <br />Lessee shall be reimbursed by Lessor together with interest from <br />the date of such payment equal to the effective Federal Land Bank <br />interest rate as of the date of such payment for the district or <br />area wherein the leased premises is located. <br />13. General Provisions. <br />a. Governing Law. This Lease and all provisions <br />hereof shall be subject to and governed by the <br />laws of the State of Nebraska. <br />t <br />b. Amendments or Modifications. This Lease shall <br />not be deemed or construed to have been <br />modified, amended, rescinded, or waived in <br />full or in part, except by written instrument <br />signed by Lessor and Lessee. <br />C. Entire Agreement. This Lease constitutes and <br />expresses the entire agreement and understanding <br />between the parties hereto in reference to all <br />of the matters herein referred to. <br />d. Waivers. The failure of either party to <br />nT�t on a strict performance of any of the <br />terms and conditions hereof shall be deemed a <br />waiver of the rights or remedies that such <br />party may have regarding that specific <br />instance only, and shall not be deemed a <br />waiver of any subsequent breach or default in <br />any of the terms and conditions hereof. <br />e.
