ASSIGNMENT OF LEASE 86-- 10353 For $1.00 and other good and valuable consideration, receipt of which is hereby acknowledged, Grand Island Broadcasting Co., Ltd., a Nebraska corporation, 852 NBC Center, Lincoln, Nebraska 68508 ( "Assignor ") does hereby assign to KRGI, Inc., a Nebraska Corporation, all of its right, title and interest in and to that certain Lease Agreement dated October 7, 1974, wherein Missouri Valley Construction Company is the lessor and Grand Island Broadcasting Co., Ltd. is the lessee relating to the real estate described on Exhibit "A" attached hereto (the "Lease "). Assignor and Assignee further agree as follows: (1) Assignee shall do and perform all things required to be done and performed by lessee under the assigned Lease, including, without limitation, the prompt payment of the rentals reserved to the lessor thereunder, and will give notice to Assignor of any notice of default which it may receive with respect to said Lease; will not modify or terminate the Lease; will not anticipate rents thereunder; will not release or discharge the lessor thereunder from its obligations, covenants, conditions and agreements; will, at its sole cost and expense, ar -. -r in and defend any action or proceeding arisirj under, growing out of or in any manner connected w'_n the Lease. (2) Assignee covenants with Assigno, that it will not use the leased premises for any purpose except radio or television broadcasting. (3) Assignor covenants with Assignee that it has good right and authority to assign its interest as lessee under the Lease; that the Lease is not in default; that the Lease is in full force and effect according to its terms and without modification; and that it has properly exercised the option to extend the term of the Lease as provided in paragraph 5 of the Lease.
