1-03283 <br />shall be deemed to be an assignment jointly to all of the part- <br />ners, who shall thereafter be subject to the terms of this Lease <br />as if each and all such former partners had initially signed this <br />Lease as individuals. <br />Section 20.10. Tenant as Corporation. If Tenant executes <br />this Lease as a corporation, then Tenant and the persons execu- <br />ting this Lease on behalf of Tenant represent and warrant that <br />the individuals executing this Lease on Tenant's behalf are duly <br />authorized to execute and deliver this Lease on its behalf in <br />accordance with a duly adopted resolution of the board of direc- <br />tors of Tenant, a copy of which is to be delivered to Landlord on <br />execution hereof, and in accordance with the Bylaws of Tenant and <br />that this Lease is binding upon Tenant in accordance with its <br />terms. <br />Section 20.11. Assignment; Subletting. Tenant shall have <br />the right to assign, sublease or otherwise transfer by operation <br />of law or otherwise this Lease or any interest herein without the <br />prior written consent of Landlord; provided that any assignment, <br />sublease or transfer by Tenant of this Lease or any interest <br />herein shall not release Tenant from any of Tenant's obligations <br />hereunder unless Landlord agrees in writing. <br />ARTICLE XXI <br />AGREEMENTS WITH RESPECT TO ASSESSMENTS, PAYMENT OF TAXES AND <br />DAMAGE, DESTRUCTION OR CONDEMNATION <br />Section 21.1. Agreement to Pay Taxes.
