<br />ASSIGNMENT OF
<br />NEBRASKA DEED OF TRUST, SECURITY AGREEMENT, AND
<br />FINANCING STATEMENT
<br />(Hall County, Nebraska)
<br />This Assignment, made as of the 1�z 4 day of August, 1985, by
<br />James R. McClymont, Trustee for the benefit of AMERICAN AGCREDIT
<br />CORPORATION, a Delaware corporation ( "American "), whose address
<br />is 3033 South Parker Road, Suite 720, Aurora, Colorado 80014, to
<br />ICI AMERICAN HOLDINGS INC., a Delaware corporation ( "ICI") whose
<br />address is North Murphy Road & Concord Pike, P.O. Box 751,
<br />Wilmington, Delaware 19897.
<br />WITNESSETH:
<br />WHEREAS, Garst Seed Company, an Iowa corporation ( "Garst
<br />Seed ") has borrowed certain moneys from American and delivered to
<br />it a certain debt. instrument (the "Note "); and
<br />WHEREAS, the Note is secured in part by a Nebraska Deed of
<br />Trust, Security Agreement, and Financing Statement hereinafter
<br />identified; and
<br />WHEREAS, ICI has agreed to purchase from American the Note,
<br />with all attendant powers, rights, and security relating thereto,
<br />pursuant to the terms qd conditions of a Note Sale and Purchase
<br />Agreement dated the of = day of August, 1985 (the "Agreement ");
<br />and
<br />WHEREAS, American, as Beneficiary under the Deed of Trust,
<br />Security Agreement and Financing Statement, has requested in
<br />writing that this Assignment be executed and delivered as con-
<br />firmed by its endorsement below.
<br />NOW, THEREFORE, in consideration of the sum of One Dollar
<br />and other good and valuable consideration to American in hand
<br />paid by ICI, receipt of which is hereby acknowledged, and in
<br />accordance with the request of the Beneficiary named therein, the
<br />undersigned as Trustee does hereby grant, bargain, sell, convey,
<br />transfer, assign and set over unto ICI, its successors and assigns,
<br />all of its right, title, interest, power and authority derived to
<br />said Trustee in and to the following:
<br />a. Nebraska Deed of Trust, Security Agreement and
<br />Financing Statement ( "Deed of Trust ") dated the 29th
<br />day of March, 1985, covering that property described in
<br />Exhibit "A" attached hereto, from Garst Research Farms,
<br />Inc. a Nebraska corporation, to James R. McClymont, as
