<br />C. MAUTNER, DAMON MEZZACAPPA, DANIEL ROSE, DONALD B. SMILEY,
<br />WILLIAM SPENCER and HOWARD M. STEIN, as successor trustees to

<br />Trustees of Corporate Property Investors, a Massachusetts
<br />Voluntary Association, having an address at 305 East 47th
<br />Street, New York, New York 10017 ( "Assignee ") and Susan
<br />Sandelman as Trustee of Nasan Trust under agreement dated
<br />December 6, 1970, having an address at Six Oneida Road,
<br />Scarsdale, New York 10583 ( "Assignee ")
<br />W I'TNESS ETH :
<br />FOR VALUE RECEIVED, the Assignor does hereby sell,
<br />assign, transfer, set over and deliver unto the Assignee and
<br />Assignee's successors and assigns, all of Assignor's right,
<br />title and interest in and to a certain lease dated November
<br />19, 1971 between Donald L. Sturm, as lessor, and Safeway
<br />Stores, Incorporated, as lessee, a Memorandum of which was
<br />filed December 13, 1971 in Book 22 at Page 441 of the Records
<br />of Hall County, Nebraska, as amended by letter agreements of
<br />Safeway Stores, Incorporated, dated March 21, 1980, April 8,
<br />1980 and April 10, 1960, affecting the real property
<br />described in Schedule A annexed hereto and made a part
<br />hereof.
<br />This assignment is subject to a prior assignment
<br />dated December 10, 1971, filed December 13, 1971 in Book 22,
<br />Page 41.0 of the Register of Deeds Office, Hall County,
<br />Nebraska and a certain Assignment of Mortgage and Assignment
<br />of Rent dated January 25, 1973 filed February 5, 1973 in Book
<br />61, Page 222 of the Records of Hall County.
<br />This assignment is made without warranty,
<br />representation or covenant, express or implied, and none is
<br />intended by the language used herein.

<br />The Declaration of Trust establishing Corporate
<br />Property Investors, dated June 24, 1971, as Amended and
<br />Restated on June 15, 197B, a copy of which, together with all
<br />c,ther amendments thereto (the "Declaration "), is on file in
<br />the Office of the Secretary of State of the Commonwealth of
<br />Massachusetts, provides that the name "Corporate Property
<br />Investors" refers to the trustees under the Declaration as
<br />Trustees, but riot personal3y, and the obligations of the
<br />Assigner do not constitute a personal obligation of the i
