S7,_ 105015 <br />PARTIAL ASSIGNMENT OF SELLERS' INTEREST <br />IN LAND CONTRACT <br />KNOW ALL MEN BY THESE PRESENTS: <br />THAT SAMUEL J. TEAGUE and DONNA J. TEAGUE, husband and <br />wife, both residing in Englewood, Colorado ( "Assignors "), for and <br />in consideration in the sum of THIRTY -FOUR THOUSAND EIGHT HUNDRED <br />FOURTEEN DOLLARS AND TWENTY -FIVE CENTS ($34,814.25) to them in <br />hand paid by STEWART TITLE GUARANTY COMPANY, a Texas corporation <br />( "Assignee "), receipt of which is hereby acknowledged, hereby <br />assign to Assignee, its successors and assigns, an undivided <br />portion of Assignors' right, title and interest, as Sellers, in <br />and to that certain Land Contract (the "Land Contract ") dated <br />January 10, 1984 and between Assignors, Sellers therein, and <br />TRI -CITY WHOLESALE, INC., a Nebraska corporation, Buyer therein. <br />The within assignment is an absolute assignment of the <br />undivided interest in the Land Contract specified above and in <br />any proceeds obtained by voluntary and involuntary payment, <br />liquidation, realization or foreclosure of the Land Contract. <br />The portion of the Land Contract hereby assigned is equal to the <br />percentage interest determined by dividing the consideration paid <br />herein by Assignor by the total amount due and owing under the <br />Land Contract on the date hereof. it is a subordinated interest, <br />such that Assignee shall be entitled only to the proceeds of any <br />sale, liquidation, realization or foreclosure of the Land <br />Contract, or any payments received from or for the account of <br />Tri -City Wholesale, Inc., after Assignors have been paid in full <br />all amounts owing under the Land Contract which are attributable <br />to the interest therein retained by Assignors. <br />The subject matter of the Land Contract is the real <br />property more particularly described in Exhibit A attached hereto <br />and incorporated herein by reference. The Land Contract is <br />recorded with he Register of Deeds of Hall County, Nebraska as <br />instrument no.{77C9tW,L_• <br />Assignors hereby covenant with Assignee that Assignors <br />are lawfully seised of the property rights conveyed herein; that <br />they have good right to sell and assign the same; that the same <br />are free from any lien or encumbrance; and that they will warrant <br />and defend Assignee's rights it and to the same against the <br />claims of all persons. <br />IN WITNESS WHEREOF, Assignors have executed this <br />Assignment as of 1987. <br />Donna J Teague Samuaa J.
