87--1029.1 NHEREAS, the series 1987A Master Note is being delivered as additional security for the payment of the amounts which are payable by Saint Francis Medical Center " Francis ") £ pursuant to provisions of the Sublease and Assumption Agreement dated as of April 1, 1987 "Sublease (the ") between Saint Francis, as sublessee, and Lutheran Hospitals and Homes Society "LHHS of America ( "), as lessee, which require Saint Francis to pay the amounts which would otherwise be payable by LHHS under Sections 3.02 and 3.03 of the Lease and Security Agreement dated as of June 1, 1977 (the "Lease ") between Hospital Authority No. 1 of Hall County, Nebraska, as lessor, and LHHS, as lessee (such payments are herein sometimes referred to as the "principal and interest "); payments and MSEREAS, the Corporation has determined that the Series 1987A Master Note may be issued in fully registered form without coupons and that the form of such Master Note and the Master Trustee's Certificate of Authentication to be endorsed thereon are all to be in substantially the form set forth in Exhibit A hereto, with such modifications, insertions, omissio'� ns an3 changes as are required or permitted by the provisions of the Master Indenture or this Second Supplemental Master Indenture. NOW, THEREFORE, THIS INDENTURE WITNESSETH: ARTICLE I DEFINITION OF TERMS " Section 101. The terms used in this Second Supplemen- tal Master Indenture shall, except as otherwise stated, have the meanings assigned to them in the Master Indenture. ARTICLE II MASTER NOTE CREATED BY THIS SECOND SUPPLEMENTAL MASTER INDENTURE Section 201. There is hereby created a series of Notes' to be known as and entitled "Franciscan Healthcare Corporation of Colorado Springs Direct Obligation Master Note, Series 1987A" (the "Series 1987A Master Note"). The Series 1987A Master Note, the form in set forth in Exhibit A hereto and in the principal amount of $7,740,000.00, s a be executed, authenticated and delivered in accordance with Article II of the Master Indenture. The Series 1987A Master Note shall be in the form of a fully registered note without coupons, shall be numbered R -1, -2- 1.
