<br />ASSIGNMENT OF GROUND LEASE
<br />THIS CONTRACT, made and entered into this 30 +�- day
<br />of 1983, by and between CLARENCE I. HOFFMAN
<br />and_JAMiVJ. KITTEN, hereinafter referred to as Hoffman and
<br />Kitten, and POLAND OIL, INC., a Nebraska corporation, herein-
<br />after referred to as Assignee.
<br />WHEREAS, Continental Oil Company, a Delaware corporation,
<br />did enter into a certain lease dated November 7, 1968, and
<br />recorded January 28, 1969, in the records of Hall County,
<br />State of Nebraska, in Book 18 of Miscellaneous Records, Page
<br />362, hereinafter called "Lease" covering the following
<br />described property in Hall County, State of Nebraska, to-
<br />wit:
<br />A tract of land comprising a part of Lot Four
<br />(4) on Island, in Section Twenty (20), Township
<br />Ten (10), North, Range Nine (9), West of the 6th
<br />P.M., Hall County, Nebraska, containing 10,047
<br />square feet, more or less, and particularly described
<br />as follows:
<br />A tract Fifty (50) Feet in width and approximately
<br />Two Hundred One (201) Feet in length adjacent to
<br />and adjoining the Southerly and Southeasterly
<br />boundary line of the tract now owned by Continental
<br />Oil Company, described more fully in a Deed filed
<br />for record in Hall County, Nebraska, in Book 149
<br />of Deeds, Page 69.
<br />WHEREAS, Continental Oil Company did assign said Lease
<br />to Clarence I. Hoffman and James J. Kitten pursuant to a
<br />document dated June 10, 1977, and filed August 26, 1977,
<br />as Document No. 77- 004883 in the records of Hall County,
<br />State of Nebraska.
<br />WHEREAS, Assignee has purchased, and Hoffman and Kitten
<br />desire to assign and convey said Lease to Assignee under
<br />the following terms and conditions.
<br />NOW, THEREFORE, in consideration of One Dollar ($1.00)
<br />and other good and valuable consideration and the covenants
<br />herein set forth, the parties agree as follows:
<br />1. Hoffman and Kitten hereby assign all their right,
<br />title, and interest in said Lease to Assignee, its successors,
<br />and assigns; provided, Assignee shall make no assignment
<br />of said Lease without the prior written approval of Continental
<br />Oil Company, which approval shall not be unreasonably withheld.
<br />2. Assignee hereby assumes all responsibilities and
<br />duties of Continental Oil Company and Hoffman and Kitten,
<br />as set forth in said Lease; and Assignor, Clarence I. Hoffman
<br />and James J. Kitten, agree to indemnify and hold Assignee
<br />harmless from all claims, damages, and costs that may have
<br />arisen prior to the date of this assignment, and further
<br />warrant that said Lease is fully paid according to its terms
<br />and is in full force and effect.; Assignee agrees to indemnify
<br />and hold Hoffman and Kitten harmless from all. claims, damages,
