LIMITED PARTNERSHIP, a limited partnership organized and existing under the laws of the State of Nebraska, Grantor herein, for and in consideration of the sum of ONE DOLLAR ($1.00) and other valuable consideration in hand paid, does hereby grant, bargain, sell, and convey unto Dial REIT, Inc., a Maryland corporation, Grantee certain real property situated in the City of Grand Island, Hall County, Nebraska, as more particularly described in Exhibit A which is attached hereto and by specific reference made a part hereof. TO HAVE AND TO HOLD the said premises (Exhibit A hereto) with all appurtenances thereto unto the said Grantee and to its successors and assigns forever, and the Grantor herein, for itself and its successors and assigns, does covenant with the Grantee named herein and with its successors and assigns that it is lawfully seized of the said premises, that they are free and clear from encumbrance except of record, that the said Grantor has good title to and good right and lawful authority to convey the same, and it does hereby covenant to warrant and forever defend said premises .unto the Grantee named herein and its successors and assigns, forever, against the lawful claims of all persons whomsoever claiming by and under the said Grantor only, its successors and assigns, excluding the exceptions herein named.
