a LICENSE AGREEMENT 87-101619 This License Agreement is made by and between the CITY OF GRAND ISLAND, NEBRASKA, a Municipal Corporation, herein referred to as the "City" and HORNADY MANUFACTURING COMPANY, a corporation, herein referred to as the "Licensee ". 1. STATEMENT OF PURPOSE. The purpose of this License Agreement is to set forth the terms and conditions under which the Licensee may construct, maintain, repair, and utilize an eight (811) inch sewer pipe and stilling basin for draining of water into Detention Cell C -5 owned by the City of Grand Island in accordance with the blue print attached hereto as Exhibit A and made a part hereof by reference. The consideration for this licence agreement is the purchase by the City of Grand Island for an agreed price of $9,999.99 of a storm sewer draining Detention Cell C -5 as shown on Exhibit A and running from Station 0 +00 west to Station 1 +60 west and from Station 0 +00 south to Station 3 +70 south. 2. LICENSEE'S DUTIES AND RISKS. It is understood and agreed that the Licensee may construct, maintain, repair and utilize the drainage system and stilling basin to discharge water into Detention Cell C -5 at the Licensee's sole risk. The Licensee hereby waives any claim for damages against the City, its officers, employees, agents and independant contractors for any damage or injury that may result to said improvement. If the City, in its sole discretion, determines that any part or all of the drainage system and stilling basin must be removed or is damaged by the City, its officers, employees, agents, or independent contractors working for the City during the course of their employment or duties with the City, the Licensee agrees to assume and pay all costs relating to the replacement or repair of the improvement. The Licensee shall discharge only water which is in compliance with the Nebraska Department of Environmental Control water quality standards as amended, into Detention Cell C -5. The Licensee agrees to indemnify and hold the City harmless from any claims, damages, causes of action, suits or judgments in the event the Licensees' water discharge causes downstream damages of any nature. At the time of execution of this license agreement, the parties anticipate a water discharge rate of 30 to 60 gallons per minute. 3. EFFECTIVE DATE. This license agreement shall take effect on the date it is executed by the Mayor of the City of Grand Island as dated below. It shall continue for an indefinite term until such time as it is terminated as provided herein. L IN I
