<br />WHEREAS, the Mortgaged Premises constitute a portion of the
<br />property granted, transferred and assigned by Otis and Wheeler to
<br />Goldome; and
<br />WHEREAS, Tagues have agreed to execute this Subordination
<br />Agreement for the purpose of subordinating the lien of the Second
<br />Mortgage to the lien and security interests granted to Goldome in the
<br />Goldome peed of Trust.
<br />NOW, THEREFORE, Tagues hereby agree as follows:
<br />1. That the Second Mortgage is and shall be subordinate to the
<br />lien created icy, as well as to all of the terms, covenants and conditions.
<br />.contained in that certain Deed of Trust dated lattuary 23, 1987,
<br />executed by Otis and Wheeler, as Trustor, in favor of Goldome, as
<br />Beneficiary, securing the original principal sum of $1,240,1140.00,
<br />recorded on February 1987 in Skrrtg Record at
<br />nty,
<br />�`J 163 in the of the Register sit Deeds of 14,11 oc
<br />Nebraska (hereinafter called "Goldome Deed of Trust"). as well as to any
<br />and all increases. therein (provided ttw use is ,advanced or incurred _
<br />under any of the'. express provisions of the GkAdome Been of Trust, or
<br />any extension, consolidation, modification or supplement thereto. (The
<br />designee . of Spence Title Services, Inc. is hereby authorized to insert
<br />the recording data in the above blank spaces after recording the Deed of
<br />Trust.
<br />2. That the holder of the Secand rtgaSe; its successors or
<br />assigns, or any other legal holder hereof,, shall not acquire by

<br />subrogation, contract or otherwise any lien upon other estate, right or-
<br />interest in the said Mortgaged PnnWses (including but not twisted to any
<br />which may arise is= respect to real estate fixes, assessments or �'
<br />gcvernsi►esitaI charges) which is or may be prior in right to the Goldome
<br />Deed of Trust, or any extension, consohdatim, modification or
<br />supplement thereto. ' unless within sixty (601 days following written
<br />notice of such intention from the holder of the Second Mortgage, its
<br />successors or assigns, the then holder of the Goldome Deed of Trust
<br />;
<br />shalt fail or refuse to purchase or acquire by subrogation or otherwise
<br />such prior- lien, estate, 69W or interest, or shall fail within such ,period
<br />to commence and thereafter proceed diligently to purchase or acquire
<br />same'

<br />3. That the Second Mortgage and the liere thereof shall be
<br />expressly subject and subordinate to any and all. advances, in whatever
<br />amounts and whenever made, with intent thereon, and to any
<br />expenses, charges and fees incurred thereby, including any and all such
<br />advances, interest, ,expenses, charges and the original principal prat
<br />thereof, provided the same is advanced or incurree under any. of the
<br />empress provisions of the Goldeme heed of :"mist, Ac any extension,
<br />consolidation, madification or supplement thereto.
<br />4- That the holder of the Second 'l"—tgage. its successors or
<br />assigns; shall asaree, to assiar* and release unto the legal holder of the
<br />Goldome Deed of Trust-
