<br />
<br />KNOW ALL MEN BY THESE PRESENTS:

<br />THAT WHEREAS, under the Nebraska Trust Deeds Act, Neb. Rev. Stat. ~~ 76-
<br />1001 to 76-1018, a Deed of Trust with Future Advances (the "Trust Deed") was
<br />executed by Warren G. Lemburg and Janet M. Lemburg ("Trustors") to Pathway Bank
<br />fjkj a The State Bank of Cairo, as trustee ("Trustee"), for the benefit of Pathway Bank
<br />fjkja The State Bank of Cairo, the beneficiary named therein ("Beneficiary"), recorded
<br />on July 31,2006, in the office of the Register of Deeds of Hall County, Nebraska, as
<br />Instrument No. 0200606795; and
<br />
<br />WHEREAS, Trustee filed for record in the office of the Register of Deeds of Hall
<br />County, Nebraska, a Notice of Default, identifying the Trust Deed by stating the name
<br />of the Trustor named therein and giving the Instrument Number where the same was
<br />recorded, a description of the Trust property, and said Notice containing a statement
<br />that a breach of an obligation for which the Trust property was conveyed as security
<br />had occurred, and setting forth the nature of such breach and of the Trustee's
<br />election to sell or cause to be sold such property to satisfy the obligation; and
<br />
<br />WHEREAS, after the lapse of not less than one month, the breach or default
<br />was not cured as required by law; and
<br />
<br />WHEREAS, the Trustee gave written notice of the time and place of sale
<br />particularly describing the property to be sold by publication of said notice at least
<br />five (5) times, once a week for five (5) consecutive weeks, the last publication being at
<br />least ten (10) days but not more than thirty (30) days prior to the sale, in a newspaper
<br />having general circulation in Hall County, Nebraska, all according to the Nebraska
<br />Trust Deeds Act; and
<br />
<br />WHEREAS, the sale was held at the time and place designated in the Notice of
<br />Sale which was between the hours of 9:00 a.m. and 5:00 p.m., and was at the
<br />premises or at the courthouse of the county in which the property to be sold or some
<br />part thereof was situated; and
<br />
<br />WHEREAS, the Notice of Sale was in substantially the form as provided by the
<br />Nebraska Trust Deeds Act; and
<br />
<br />WHEREAS, on the date and at the time and place designated in the Notice of
<br />Sale, the Trustee sold the property at public auction to Pathway Bank fjkja The State
<br />Bank of Cairo, who was the highest bidder; and
<br />
<br />and
<br />
<br />WHEREAS: the sflh' was condl1cted according to the Np.braska Trust Deeds Act;
<br />
<br />WHEREAS, the Notice of Default and the Notice of Sale were duly mailed by
<br />registered cr certified mail, with postage prepaid, to all pel"Sons who had requested
<br />notice according to law or according to the Deed of Trust referenced herein; and
<br />
<br />WHEREAS, the Trustee has complied with all of the provisions of the Nebraska
<br />Trust Deeds Act.

<br />NOW, THEREFORE, I, as the Trustee under the Deed of Trust herein
<br />referenced, as aforesaid, in consideration of the premises and by virtue of the powers
<br />vested in me by law and by the herein referenced Deed of Trust, do hereby give, grant,
