<br />MEMORANDUM OF LEASE
<br />
<br />Memorandum of Lease between Midland Ag Services, Inc., a Nebraska corporation,
<br />(Lessor) and Lyman-Richey Corporation, a Delaware corporation (Lessee)
<br />
<br />WITNESSETH:
<br />For valuable consideration on February 25, 2007, Lessor and Lessee entered into a Lease
<br />which grants Lessee the sole right (to the exclusion of all other persons, including Lessor) to
<br />excavate, remove and transport sand, gravel and rock products from the following
<br />described real estate, to wit:
<br />
<br />A parcel of land within the South Half of the Southeast Quarter and part of the East
<br />Half of the Southeast Quarter and Southwest Quarter, all in Section 23, Township
<br />11 North, Range 9 West ofthe 6th P.M., Hall County, Nebraska, more particularly
<br />described on attached Exhibit A
<br />
<br />Said Lease is for a term expiring January 31,2022. The rent and other conditions of said
<br />Lease between the parties are set forth therein.
