<br />NOTICE OF SA TISF ACTION AND FULL RELEASE OF MORTGAGE
<br />
<br />THIS NOTICE OF SATISFACTION AND FULL RELEASE OF MORTGAGE (the "Release"), dated as
<br />of 'T\D/ie~Y\be(' ~~ ,2007, made by the Rural Telephone Finance Cooperative (hereinafter, "RTFC") to
<br />AL-mL Wireless Ho ings of Nebraska, Inc. (hereinafter, "ALLTEL").
<br />
<br />WHEREAS, ALLTEL, as successor in interest to Nebraska Cellular Telephone Corporation, has executed
<br />and delivered that certain Mortgage and Security Agreement dated March 30, 1990, filed June 11, 1993 as
<br />Instrument No. 93-104904 in the office of the Register of Deeds of Hall County, Nebraska, as amended by
<br />Amendment to Mortgage and Security Agreement dated July 13, 1995, filed August 2, 1995 as Instrument No. 95~
<br />105179 in the office of the Register of Deeds of Hall County, Nebraska (collectively the "Mortgage");
<br />
<br />WHEREAS, RTFC has the authority to execute this Release.
<br />
<br />WHEREAS, ALL TEL has paid in full and discharged all of its indebtedness and other obligations to RTFC
<br />evidenced by the Mortgage and is entitled to the release and discharge of RTFC's lien, security interest, and any
<br />other obligation ALL TEL may have had under the Mortgage.
<br />
<br />NOW, THEREFORE, in consideration of the sums paid by ALLTEL to RTFC at or before the time of the
<br />delivery hereof, the receipt thereof is hereby acknowledged, RTFC does hereby convey and quitclaim to ALL TEL
<br />all right, title and interest in any and all of ALL TEL's properties or assets, including but not limited to the real
<br />property more fully described on Exhibit A, attached hereto and made a part hereof, that may exist or may have
<br />existed as a result of the Mortgage and RTFC does hereby authorize the Secretary of State of Nebraska and the
<br />office of the Register of Deeds of Hall County, Nebraska to enter full satisfaction of the Mortgage of record.
<br />
<br />This Release may be executed in several counterparts, and all said counterparts executed and delivered,
<br />each as an original, will constitute but one and the same instrument.
<br />
<br />IN WITNESS WHEREOF, RTFC has caused this instrument to be duly executed in its behalf, all as of the
<br />day and year first above written.
