<br />FACTS
<br />
<br />1. An Easement and Agreement was signed by Raymond Ramirez and
<br />Helen K. White as owners of Lot One (1), Lambert's Second Subdivision, City of Grand
<br />Island, Hall County, Nebraska, and by Trent Huff and Susan D. Huff, husband and wife
<br />(Huffs), owners of Lot Two (2), Lambert's Second Subdivision, City of Grand Island, Hall
<br />County, Nebraska, on November 2, 1999 and filed with the Hall County Register of
<br />Deeds on November 8, 1999 as instrument number 0099110780.

<br />2. Huffs subdivided Lot Two (2), Lambert's Second Subdivision, City of
<br />Grand Island, Hall County, Nebraska into Lots One (1 ) and Two (2), Lambert's Third
<br />Subdivision, City of Grand Island, Hall County, Nebraska, and then subdivided Lot One
<br />(1), Lambert's Third Subdivision into Lots One (1) and Two (2), Lambert's Fifth
<br />Subdivision, City of Grand Island, Hall County, Nebraska.

<br />3. Socorro Morales and Maria E. Morales, husband and wife, (Morales),
<br />currently own Lot Two (2), Lambert's Third Subdivision, City of Grand Island, Hall
<br />County, Nebraska (the part of Lot Two (2), Lambert's Second Subdivision, City of Grand
<br />Is~nd, Hall County, Nebraska affected by the Easement and Agreement), and
<br />O.tsche Bank National Trust Company, for the benefit of the Certificateholders of
<br />Morgan Stanley ABS Capital I Inc., owns Lot One (1), Lambert's Second Subdivision,
<br />City of Grand Island, Hall County, Nebraska.

<br />4. The well referred to in the Easement and Agreement is no longer used by
<br />Huffs or Morales. They have abandoned the use of the Easement Property and in
<br />accordance with the Easement and Agreement, the Easement is terminated.
<br />
<br />5. A new well has been furnished to Morales on Lot Two (2), Lambert's Third
<br />Subdivision, City of Grand Island, Hall County, Nebraska.
<br />
<br />Based upon all these facts, the undersigned parties agree that the Easement and
<br />Agreement recorded as instrument number 0099110780 and filed on November 8, 1999
<br />is void and is terminated effective immediately.
