<br />THIS DEED OF TRUST COVERS GOODS WHICH ARE OR ARE TO BECOME
<br />FIXTURES, IS EFFECTIVE AS A FINANCING STATEMENT FILED AS A FIXTURE
<br />FILING AND IS TO BE FILED IN THE REAL ESTATE RECORDS.

<br />THIS DEED OF TRUST, ASSIGNMENT OF LEASES AND RENTS, SECURITY
<br />AGREEMENT AND FIXTURE FILING (this "Deed of Trust") is made and entered into as of
<br />November 2Q, 2007, by and between GATEHOUSE MEDIA NEBRASKA HOLDINGS, INC.,
<br />a Delaware corporation, whose address is c/o GateHouse Media, Inc., 350 WillowBrook Office
<br />Park, Fairport, New York 14450 (the "Grantor"), in favor of CHICAGO TITLE INSURANCE
<br />COMPANY, a Nebraska corporation, whose address is 106 W. 1 Jth Street, Suite 1800, Kansas
<br />City, MO 64105 (the "Trustee"), and WACHOVIA BANK, NATIONAL ASSOCIATION, in its
<br />capacity as administrative agent (in such capacity, the "Administrative Agent") for the lenders
<br />from time to time party to the Credit Agreement described herein (the "Lenders") with an
<br />address of Charlotte Plaza, 201 South College Street, CP8, Charlotte, North Carolina 28288-
<br />0680, Attn: Syndication Agency Services, as beneficiary hereunder.

<br />RECITALS

<br />V1I-IEREAS, the Lenders have agreed to make available to Gatehollse Media Operating,
<br />Inc., a Delaware corporation, and certain other borrowers (individually, a "Borrower" and
<br />collectively, the "Borrowers") certain Loans, Letters of Credit and other arrangements (the
<br />"Credit Facility") pursuant to the terms of that certain Amended and Restated Credit Agreement
<br />dated February 27, 2007 by and among the Borrowers, certain guarantors (including Grantor)
<br />party thereto from time to time (individually, a "Guarantor" and collectively, the "Guarantors"),
<br />the Administrative Agent, Goldman Sachs Credit Partners L.P., as syndication agent, Morgan
