The surviving corporate entity is now known as COOPERATIVE PRODUCERS, INC. (formerly HEARTLAND CO-OP, Hastings, Nebraska), which was reorganized for the purpose of completing the merger transaction. Pursuant to 9 21-20,133 of the Nebraska Business Corporation Act, "the title to all real estate and other property owned by each corporation party to the merger shall be vested in the surviving corporation without reversion or impairment." HEARTLAND CO-OP F/K1 A JUNIATA FARMERS COOPERATIVE ASSOCIATION is the record owner of real estate in Hall County, Nebraska, as described on Exhibit "A" attached hereto. As provided by law, on March 1,2007, title to the said real estate was vested in COOPERATIVE PRODUCERS, INC. The purpose for filing this Record Deed is to report the event of and effect of the merger on the title of the real estate.
