<br />SUBORDINATION OF DEED OF TRUST

<br />KNOW ALL MEN BY THESE PRESENTS, THAT WHEREAS, Joel W. Lee and
<br />Deborah K. Lee, husband and wife, hereinafter referred to as "Trustor" did on the 12TH day of
<br />July, 2007 execute and deliver to NEBRASKA ENERGY FEDERAL CREDIT UNION a Deed
<br />of Trust upon certain real estate located in Hall County, Nebraska, and legally described as:

<br />conditioned for and to secure the payment of the sum shown on the NOTE, which Deed of Trust
<br />was recorded in the Office ofthe Register of Deeds of Hall County on the 27th day of July,
<br />2007, Document No. 200706386.

<br />WHEREAS, Trustor, for the purpose, among other things, of paying or securing certain
<br />debts, have agreed to execute and deliver a Deed of trust upon the real estate to NEBRASKA
<br />ENERGY FEDERAL CREDIT UNION for the payment ofthe sum of Two Hundred Ninety-
<br />Two Thousand & 00100---------------------------------------------- ($ 292,000.00 ), to be a first Deed
<br />oftrust upon the premises, recorded in the Register of Deeds Office as Document No.
<br />200706593.

<br />NOW, THEREFORE, NEBRASKA ENERGY FEDERAL CREDIT UNION, in
<br />consideration of the premises for value received, the receipt and adequacy of which is hereby
<br />acknowledged, does hereby bargain, consent, promise and agree to and with Trustor, their heirs
<br />and assigns, that the Deed of trust upon the premises thus to be executed by Trustor to
<br />NEBRASKA ENERGY FEDERAL CREDIT UINION, for the amount and interest above
<br />mentioned, shall at all times be a prior Deed of Trust and a prior lien upon the premises to the
<br />Deed of Trust of NEBRASKA ENERGY FEDERAL CREDIT UNION as first above described.
