<br />Thelen Grain Company, a Nebraska Corporation organized and
<br />existing under and by virtue of the laws of the State of Nebraska,
<br />for and in consideration of THIRTY-FOUR THOUSAND THREE HUNDRED
<br />SEVENTY-FOUR DOLLARS AND NINETY CENTS ($34,374.90) AND OTHER
<br />VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,
<br />does hereby convey to Hayes, Hayes & Soto Investments, L.L.C., a
<br />Nebraska Limited Liability Company, the following described real
<br />estate in Hall County, Nebraska:

<br />Hall County,
<br />

<br />to the City of Wood River,

<br />together with all tenements, hereditaments, and appurtenances to
<br />the same belonging, and all the estate, title, interest, claim or
<br />demand whatsoever of said Grantor, of, in or to the same, or any
<br />part thereof; subject to easements and restrictions of record.

<br />Grantor covenants with the Grantees that Grantor:

<br />(1) is lawfully seized of such real estate and that it lS
<br />free from encumbrances except as stated herein;
<br />
<br />(2) has good right and lawful authority to sell the same;
<br />
<br />(3) warrants and will defend the title to the real estate
<br />against the lawful claims of all persons.
