200705368 Notwithstanding the foregoing, Cargill may limit Pioneer Trail's access to the Premises under this Agreement immediately if Cargill, in its discretion, determines that the safety of its property, employees, representatives, or contractors is at risk as a result of the actions of Pioneer Trail or its agents, until such time that any such safety issue is resolved to the mutual satisfaction of Cargill and Pioneer Trail. Furthermore, Cargill may terminate this Agreement if Pioneer Trail is in material breach of its obligations hereunder and such breach continues uncured for a period of 20 days following written notice of such breach from Cargill to Pioneer Trail. Upon any termination of this Agreement other than in connection with the normal termination as of the Effective Date, Pioneer Trail will promptly remove any parts, equipment or property from the Premises. If Pioneer Trail does not remove its parts, equipment or property from the Premises within five (5) days following receipt of notice oftermination, Cargill has the right to remove said parts, equipment or property and have it placed in storage, and Pioneer Trail will reimburse Cargill for the costs of such removal action and storage fees. Within fourteen (14) days after termination of this Agreement, Pioneer Trail shall return the Premises to as good a condition as they existed prior to the performance of any Work.' Section 16. Confidentiality. Pioneer Trail will keep confidential all specifications, technical information, business information, trade secrets and other proprietary information furnished by Cargill or prepared or obtained by Pioneer Trail in connection with its access to the Premises (the "Confidential Information"). Pioneer Trail will limit dissemination of the Confidential Information to only those employees of Pioneer Trail who need to receive it in order to efficiently conduct the Work at the Premises. Pioneer Trail will require each of its employees and contractors involved in or associated with conducting the Work to abide by these confidentiality provisions even after the employee or contractor is no longer employed by Pioneer Trail. Upon completion of the Work, Pioneer Trail will make no further use, either directly or indirectly, of any Confidential Information and will return all written Confidential Information to Cargill. 7
