<br />200704125 <br /> <br />39. Sole Discretion of Beneficiary. Wherever pursuant to this Deed of Trust, Beneficiary <br />exercises any right given to it to approve or disapprove, or any arrangement or term is to be <br />satisfactory to Beneficiary, the decision of Beneficiary to approve or disapprove or to decide that <br />arrangements or terms are satisfactory or not satisfactory shall be in the sole discretion of <br />Beneficiary and shall be final and conclusive, except as may be otherwise expressly and <br />specifically provided herein. <br /> <br />40. Non-Waiver. The failure of Beneficiary or Trustee to insist upon strict performance of <br />any term hereof shall not be deemed to be a waiver of any term of this Deed of Trust. Grantor <br />shall not be relieved of Grantor's Obligations hereunder by reason of (a) the failure of <br />Beneficiary or Trustee to comply with any request of Grantor to take any action to foreclose this <br />Deed of Trust or otherwise enforce any of the provisions hereof or of the other Loan Documents, <br />(b) the release, regardless of consideration, of the whole or any part of the Trust Property, or of <br />any person liable for the Obligations or any portion thereof, or (c) any agreement or stipulation <br />by Beneficiary extending the time of payment or otherwise modifying or supplementing the <br />terms of this Deed of Trust or the other Loan Documents. Beneficiary may resort for the <br />payment of the Obligations to any other security held by Beneficiary in such order and manner as <br />Beneficiary, in its discretion, may elect. Beneficiary may take action to recover the Obligations, <br />or any portion thereof, or to enforce any covenant hereof without prejudice to the right of <br />Beneficiary thereafter to foreclose this Deed of Trust. The rights and remedies of Beneficiary <br />under this Deed of Trust shall be separate, distinct and cumulative and none shall be given effect <br />to the exclusion of the others. No act of Beneficiary shall be construed as an election to proceed <br />under anyone provision herein to the exclusion of any other provision. Beneficiary shall not be <br />limited exclusively to the rights and remedies herein stated but shall be entitled to every right and <br />remedy now or hereafter afforded at law or in equity. <br /> <br />41. MISCELLANEOUS. <br /> <br />41.1. No Oral Change. This Deed of Trust, and any provisions hereof, <br />may not be modified, amended, waived, extended, changed, discharged or <br />terminated orally or by any act or failure to act on the part of Grantor or <br />Beneficiary or Trustee, but only by an agreement in writing signed by the party <br />against whom enforcement of any modification, amendment, waiver, extension, <br />change, discharge or termination is sought. <br /> <br />41.2. Successors and Assigns. Subject to the provisions hereof requiring <br />Beneficiary's consent to any Transfer of the Trust Property or an interest therein, <br />this Deed of Trust shall be binding upon and inure to the benefit of Grantor and <br />Beneficiary and their respective successors and assigns forever. <br /> <br />41.3. Severability. If any term, covenant or condition of this Deed of <br />Trust or the Loan Documents is held to be invalid, illegal or unenforceable in any <br />respect, this Deed of Trust and any such other Loan Document shall be construed <br />without such provision. <br /> <br />41.4. Headings, etc. The headings and captions of various paragraphs of <br />this Deed of Trust are for convenience of reference only and are not to be <br /> <br />20 <br />
