<br />Lakewood, Colorado 80228 - 8304 (formerly known as K N Energy, Inc., also formerly known as Kansas Nebraska Natural
<br />Gas Company, Inc., also formerly known as Kansas Pipeline & Gas Co. and successor in interest to Northern Gas
<br />Company, by merger) ("GRANTOR"), County of Jefferson and State of Colorado, for and in consideration of Five Dollars
<br />($5.00) and other good and valuable consideration, in hand paid, hereby sells and conveys to SOURCE GAS
<br />DISTRIBUTION LLC, a Delaware limited liability company ("GRANTEE"), whose legal address is 370 Van Gordon,
<br />Lakewood, Colorado 80228 of the County of Jefferson and State of Colorado, the parcels of real estate situated in Hall
<br />County, Nebraska (the "Property"), together with all of Grantor's right, title and interest, if any, in and to (i) all improvements
<br />located on the Property, and (ii) all and singular, the rights and appurtenances pertaining to the Property:

<br />Section 19: A tract of land located in Lot 5, County Subdivision of said Section 19, described as follows; Commencing at
<br />the point of intersection of the South line of the right-of-way of Union Pacific Railroad Company and a line 33 feet East and
<br />parallel to the West line of said Section 19, thence South along said latter line a distance of 40 feet to the point of
<br />beginning of the tract herein conveyed; thence South along said line 50 feet, thence East at right angles 40 feet, thence
<br />North at right angles 50 feet, thence West at right angles 40 feet to the place of beginning, said tract containing .046 acres,
