<br />Deutsche Bank National Trust Company, as Trustee for the registered
<br />holders of Meritage Mortgage Loan Trust 2005-3, Asset Backed Certificates, Series
<br />2005-3, herein called Grantor, and in consideration of ONE DOLLAR ($1.00) and other
