Box <br />866, Grand Island, Nebraska 68802 (the -Assignor-), and FLEET <br />CREDIT CORPORATION, a Rhode Island corporation having its <br />principal place of business at 111 Westminster Street, Providence, <br />Rhode Island 02903-2305 (the -Assiqnee); <br /> <br />! ! ! ! ~ ! ! ~ ! ~: <br /> <br />WHEREAS, the Assignor is primarily engaged in the business of <br />manufacturing and distributing electronic instrumentation and <br />related goods and services. and maintains certain offices and <br />facilities in connection therewithr and <br /> <br />WHEREAS, the Assignee has agreed to make certain Loans to the <br />Assignor pursuant and subject to the terms and conditions of a <br />certain Revolving Credit and Term Loan Agreement (the -Loan <br />Agreement-), dated as of March 18. 1988, as amended from time to <br />time, by and between the Assignee and CDJ Acquisition Corporation <br />(the Assignor's predecessor in interest), and certain -Notes- and <br />-security Documents- as described therein (the Loan Agreement, <br />Notes and Security Documents (including this Assiqnment) being <br />hereinafter collectively referred to as the -Loan Documents-)r and <br /> <br />WHEREAS, the Assignor is the lessee of the real property, <br />buildings and improvements (collectively, the -Premises-) <br />described in and leased pursuant to the Lease Agreement annexed <br />hereto as Exhibit -A- (the -Lease-); and <br /> <br />WHEREAS, the Loan Agreement provides that, as a condition to <br />making the Loans, the Assignor execute and deliver this <br />Assignment, and effect such filing thereof as the Assignee may <br />properly require; <br /> <br />NOW, THEREFORE, in consideration of the premises and the <br />covenants herein contained, and for other good and valuable <br />consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the parties hereby agree as follows: <br />
