The undersiqned is the duly elected and qualified <br />Secretary of Mid-Continent Enterprises, Inc., a corporation <br />orqanized and existinq under and by virtue of the laws of the <br />State of Nebraska. <br /> <br />2. The followinq is a true and exact copy of a resolution <br /> <br />unanimously adopted by the Board of Directors of said corporation <br /> <br />on May 9, 1988: <br /> <br />"RESOLVED, by the Board of Directors of Mid-Continent <br />Enterprises, Inc., a Nebraska corporation, that the President, <br />Judith L.
