<br />The Agricultural Credit Act of 1987, passed by the United States Congress in December 1987 and signed Into 1aw:Jy the President on
<br />January 6, 1988, provides, in Section 410(a) as follows:
<br />
<br />-Not later than six months aft9f th~ date of ths 9nactmcmt of this 3ection, the Faderal land Bank land thli Federai
<br />Intermediate Credit Bank of each district shall merge into a Farm Credit Bank In such district pursuant to a plan of merger
<br />agreed on by the Boards of Directors of such banks arid approved by the Farm Credit Administration. , .-
<br />
<br />Pursuant to said mandate, the Boards of Directors of The Federal land Bank of Omaha and of the Federal Intermediate Credit Bank of
<br />Omaha, (thoa "Banks; did execute an Agreement and Plan of Merger, dated May 18.1988. effective at 12:01 A.M. Central Ttme on July
<br />6. 1988, to consolidate into a new entity and federally chartered instrumentality and body corporate. known as Farm Credit Bank of
<br />Omaha, (FCB) the heaclquarters of which shall be the Farm Credit Building, 206 South 19th Street, Omaha, N8braska 68102.

<br />Article I, Section 1.1 (b) of the Agreement and Plan of Merger pro'iicle5 that:
<br />
<br />-On the Effective Date, the separate existence of the Banks shall cease, and the FCB shall be established and shall. . .
<br />succeed to and possess all the properties, rights, privileges, powers, franchises, immunities and purposes, and shall
<br />succeed and be subject to all the debts, liabilities, obligations, restrictions and dutie.. of the Banks, aU without further act or
<br />deed.- . . .
<br />
<br />Article II, Section 2.7 of the Agreement and Plan of Merger provides that:
<br />
<br />-From and after the effective date, each officer of the FCB is authorized to execute. attest and deliver any document or
<br />instrument, to testify, produce documents or business records in, or appear or cau.e the FCB to appear as a party to, any
<br />action or proceeding at law or equity or before any administrative or governmental body, and to take any other action, to vest,
<br />perfect or contirm title to the property, usets or rights of the Banks and the FOB, and otherwise to cmy out the purposes and
<br />intent of this agreement, In each case either in the name of the FICB. the FlB, or the FCB.-
<br />
<br />The Agreement and Plan of Merger was approved by the Farm Credit Administralion. and, in SIICCOrdance with the authority of the Farm
<br />Credit Administration to issue a new charter. the Farm Crec:flt Administralion did issue a new charier with the 8ffec:tive dale being July 6,
<br />1988.
<br />
<br />A photocopy of this document shall be deemed to be and may be relied on as an original.
