<br />RELEASE OF MEMORANDUM OF OPTION TO PURCHASE AGREEMENT
<br />AND OF FIRST AMENDMENT TO OPTION TO PURCHASE AGREEMENT

<br />On May 10, 2005 Cargill, Incorporated, a Delaware corporation ("Cargill") entered into
<br />that certain Option to Purchase Agreement with Four-M Ltd" a Nebraska limited partnership and
<br />Arlene Mettenbrink Life Estate, and recorded a Memorandum of Option to Purchase Agreement
<br />on July 6, 2005 as Instrument No. 200506096 in Hall County, Nebraska. On August 22, 2005,
<br />Cargill, Four-M Ltd. and the Arlene Mettenbrink Life Estate entered into that certain First
<br />Amendment to Option to Purchase Agreement and recorded such First Amendment to Option to
<br />Purchase Agreement on September 6, 2005 as Instrument No. 200508801 in Hall County,
<br />Nebraska. On or about July 5, 2006, Cargill assigned its interest in the Option to Purchase
<br />Agreement, as amended by the First Amendment to Option to Purchase Agreement, to Pioneer
<br />Trail Energy LLC, a Delaware limited liability company.

<br />Cargill, Four-M Ltd., the Arlene Mettenbrink Life Estate, and Pioneer Trail Energy LLC
<br />desire to terminate and release the Memorandum of Option to Purchase Agreement and the
<br />First Amendment to Option to Purchase Agreement and the rights and obligations set forth
<br />thereunder.

<br />IN CONSIDERATION of the sum of TEN and 00/100 DOLLARS ($10.00) to it in hand
<br />paid, and other good and valuable consideration, Cargill, Four-M Ltd., the Arlene Mettenbrink
<br />Life Estate, and Pioneer Trail Energy LLC hereby release and terminate the Memorandum of
<br />Option to Purchase Agreement filed July 6, 2005 as Instrument No. 200506096 in Hall County,
<br />Nebraska and the First Amendment to Option to Purchase Agreement filed September 6, 2005
<br />as Instrument No. 200508801 in Hall County, Nebraska and the rights and obligations set forth
<br />in each such instrument. For reference purposes, the parties acknowledge the real estate in
<br />Hall County, Nebraska affected by such Memorandum of Option to Purchase Agreement and
<br />First Amendment to Option to Purchase Agreement is legally described as follows:
