<br />B. Borrower executed and delivered to Lender its Term Note in the original principal
<br />amount of $ I 22,000.00 and a Term Loan Agreement on or about March 9, 2006.
<br />
<br />C. Borrower executed and delivered to Lender its Revolving Credit Note in the
<br />original principal amount of $100,000.00 and a Revolving Credit Agreement on or about March
<br />9, 2006.
<br />
<br />D. The Loans are secured by, among other things, that certain Deed of Trust
<br />executed by Borrower in favor of Lender as Trustee, for the use and benefit of Lender as
<br />beneficiary, dated March 9, 2006, recorded on March 10,2006 at Instrument No. 200602124 of
<br />the Real Estate Records of the Hall County, Nebraska Register of Deeds (as the same has been
<br />and further amended, modified and restated from time to time, the "Deed of Trust"). (The Notes,
<br />Loan Agreements, Security Agreements, the Deed of Trust and any and all related documents,
<br />whether specifically identified herein or not are referred to herein as the "Loan Documents")
<br />
<br />E. Borrower and Lender desire to amend the Deed of Trust for the purpose of (i)
<br />modifying the definition of the Obligations (as defined in Paragraph 1.3 of the Deed of Trust)
<br />and (ii) to specifically increase the principal amount secured by the Deed of Trust to include the
<br />sum of the entire principal amount due under the notes and amount due to Lender as the result of
<br />an overdraft $498,868.84, plus any and all interest fees and charges otherwise due under
<br />applicable loan documents.
<br />
<br />NOW, THEREFORE, in consideration of the premises and promises hereafter set forth,
<br />the parties hereto hereby agree as follows:

<br />AGREEMENTS:
<br />
<br />1. Accuracy of Recitals. Borrower hereby acknowledges the accuracy of the
<br />foregoing Recitals.
<br />
<br />2. Outstanding Principal Balance and Accrued Interest. As of July 11, 2006, the
<br />outstanding principal balance due on the Notes identified hereinabove and overdraft is
<br />$498,868.84.
<br />
<br />3. Amendment to Deed of Trust. Paragraph 1.3 "Obligations" of the Deed of Trust
<br />is hereby amended to provide as follows:
<br />
<br />Obligations mean all loans by the Beneficiary to Preisendorf Plumbing
<br />and Heating, Inc. including those loans evidenced by a note or notes dated
<br />March 9, 2006, in the initial principal amount(s) of $244,000.00,
<br />$122,000.00, and $100,000.00, and any extensions, renewals, restatements
<br />and modifications thereof and all principal, interest, fees and expenses
<br />relating thereto (the "Note"); and also means all the Trustor's debts,
<br />liabilities, obligations, covenants, warranties, and duties to the Beneficiary
<br />(plus the affiliates including any credit card debt, but specifically
<br />excluding any type of consumer credit), whether now or hereafter existing
