<br />KNOW ALL MEN BY THESE PRESENTS, THAT WHEREAS, Ohlman Brothers Partnership, a General
<br />Partnership, Daniel~. Ohlman and Te!e~~~._Q~lman2husb~u.!d anp~if(:\ David R. Ohll1J~n and Pamela OhlmaD,_
<br />husband and wife, Ernest R. Ohlman III, a single person, hereinafter referred to as "Mortgagors/Trustors" did on
<br />the 2i' day of February, 2004 execute and deliver to Heritage Bank in Wood River, Nebraska a mortgage/Deed of
<br />Trust upon certain real estate located in Hall County, Nebraska and legally described as:

<br />The Northeast Quarter (NEl/4) of Section Nineteen (19), Township Nine (9) North, Range
<br />Twelve (12) West of the 6th P.M., in Hall County, Nebraska.

<br />Conditioned for and secure to the payment of the sum shown on the NOTE, which mortgage/Deed of Trust was
<br />recorded in the Office of the Register of Deeds of Hall County on the 5th day of April, 2004 as instrument
<br />#200403247.
<br />
<br />WHEREAS, Mortgagors/Trustors, for the purpose, among other things, of paying or securing certain debts, have
<br />agreed to execute and deliver a mortgage/Deed of Trust upon the real estate to Farm Credit Services of America,
<br />FLCA. Conditioned for the payment of the sum of One Hundred Fourty-One Thousand Four Hundred and NolI 00
<br />Dollars ($141,400.00) to be a First Mortgage/Deed of Trust upon the premises, executed July 19,2006, and filed
<br />July 19,2006, as instrument #0200606424 recorded in the Hall County Register of Deeds office.

<br />NOW, THEREFORE, Heritage Bank in consideration of the premises for the value received, the receipt and
<br />adequacy of which is hereby acknowledged, does hereby bargain, consent, promise and agree to and with
<br />Mortgagors/Trustors, their heirs and assigns, that the mortgagelDeed of Trust upon the premises thus to be executed
<br />--byMortgagors/l'rustor-s to-Farm-Credit- ~v-iW&of -America, FbCAfOftfle-ameuntaad interest-above- mentioned,
<br />shall at all times be a prior Mortgage/Deed of Trust and a prior lien upon the premises to the Mortgage/Deed of
