<br />ASSIGNMENT OF DEED OF TRUST BENEFICIAL INTEREST

<br />KNOW ALL MEN BY THESE PRESENTS, that THE BANK OF NEW
<br />YORK, AS TRUSTEE UNDER THE POOLING AND SERVICING AGREEMENT
<br />DATED AS OF MAY 31, 1997-SERIES 1997-B, the party of the
<br />first part, in consideration of the sum of One Dollar
<br />($1.00) and other valuable consideration to it in hand paid
<br />by WACHOVIA BANK, N.A., the party of the second part,
<br />receipt whereof is hereby acknowledged, has granted,
<br />assigned and transferred, and, by these presents does grant,
<br />assign and transfer unto the said WACHOVIA BANK, N.A., its
<br />successors and assigns, the beneficial interest in a certain
<br />Deed of Trust wherein TMS MORTGAGE, INC. DBA THE MONEY STORE
<br />is Beneficiary, Victoria Guadalupe Lloyd, a single person,
<br />is Trustor and Stewart Title Company Trustee, which Deed of
<br />Trust was dated the 9th day of May, 1997, and recorded on
<br />the 19th day of May, 1997 as Instrument No. 97-103897, of
<br />the mortgage records of Douglas County, Nebraska, and all
<br />its right, title and interest to the property therein
<br />described, as follows, to-wit:
