<br />KNOW ALL MEN BY THESE PRESENTS, THAT WHEREAS, Sheila K. Axford, a
<br />single person, hereinafter referred to as "Trustor" did on the 24TH day of March, 2006 execute
<br />and deliver to HASTINGS VENTURES, L.L.C., a Deed of Trust upon certain real estate located
<br />in Hall County, Nebraska, and legally described as:

<br />Lot Four (4), Block Three (3), Woodland Park Second Subdivision, in the city of Grand Island,
<br />Hall County, Nebraska
<br />
<br />conditioned for and to secure the payment of the sum shown on the NOTE, which Deed of Trust
<br />was recorded in the Office of the Register of Deeds of Hall County on the 27th day of March,
<br />2006 as Document No. 200602649.

<br />WHEREAS, Trustor, for the purpose, among other things, of paying or securing certain
<br />debts, have agreed to execute and deliver a Deed of trust upon the real estate to Platte Valley
<br />State Bank & Trust Company conditioned for the payment ofthe sum of One Hundred Seventy-
<br />Five Thousand & 00100---------------------------------------------- ($ 175,000.00), to be a first Deed
<br />oftrust upon the premises, recorded in the Register of Deeds Office as Document No.
<br />200603051.

<br />NOW, THEREFORE, HASTINGS VENTURES L.L.C., in consideration ofthe premises
<br />for value received, the receipt and adequacy of which is hereby acknowledged, does hereby
<br />bargain, consent, promise and agree to and with Trustor, their heirs and assigns, that the Deed of
<br />trust upon the premises thus to be executed by Trustor to Platte Valley State Bank & Trust
<br />Company, for the amount and interest above mentioned, shall at all times be a prior Deed of
<br />Trust and a prior lien upon the premises to the Deed of Trust of HASTINGS VENTURES L.L.C.
<br />as above described.
